Technical Constraints, Plan Limits, and Fair Usage Policy

TECHNICAL RESTRICTIONS, PLAN LIMITS AND FAIR USE ADDENDUM
This Addendum forms part of the applicable Trivvo Software License Agreement and sets out technical restrictions, Plan-specific limits, and fair-use conditions applicable to certain Trivvo Systems, modules, applications, and services.
1. Pricing Plans
• Systems or modules that are not permitted under a particular Plan may not be activated unless the Customer upgrades to a higher Plan.
• If the Customer upgrades from one Plan to a higher Plan during an active Subscription Term, the net unused value of the current subscription shall be calculated as a credit and deducted from the price of the new Plan, in accordance with the calculation methodology adopted by the First Party as of the upgrade date. No cash refund shall be due in respect of any resulting difference unless expressly agreed otherwise.
2. Point of Sale (POS) System
• The Point of Sale (POS) System includes a limited number of POS terminals, as specified under the applicable Plan. An additional fee shall apply to each additional POS terminal.
• The POS System operates through a web interface and, for certain temporary functions during a loss of connectivity, may rely on local storage within the browser or device. Accordingly, clearing browser data, using incognito/private browsing or guest mode, using cleaning software, or applying settings that erase local storage may result in the loss of data that has not yet been transmitted to the server. The Second Party is responsible for complying with the operating environment recommended by the First Party.
• The POS System relies on a supporting software component that must be installed on the computer in order to enable automatic saving and synchronization/transfer, and to allow continued operation during an internet outage or a loss of connection to Trivvo’s main server.
• Each POS terminal may be linked to one cash register only.
• When a user logs in to a POS terminal, the value of sales is linked to the cash register assigned to that POS terminal, rather than to the user’s own cash account. The user’s cash account is used solely for accounting and application purposes.
• Upon the first login to a POS terminal, the terminal’s cash float/custody is opened, and all sales processed through that terminal are linked to the terminal’s cash register and cash float.
• A single user may not be logged in to more than one POS terminal at the same time.
• More than one user may log in to the same POS terminal simultaneously. In such case, each transaction shall be recorded against the user who created it, while all financial transactions generated by all users shall be recorded against the POS terminal’s cash float and cash register.
• A single user may not use the main System and operate a POS terminal at the same time, as both are treated as concurrent access to the same System.
• User permissions may be configured to prevent more than one user from accessing the same POS terminal while an active session is already open for another user. Such permission may, for example, be granted to a manager so that the manager can perform actions not available to ordinary users, such as applying discounts or similar authorized actions.
• The POS System requires installation of a tool provided within the System in order to enable offline operation and synchronization when connectivity is restored. Without this tool, the POS System cannot operate offline.
• Guest-mode browsing must not be used when accessing Trivvo or Trivvo POS, as doing so may disable or interfere with important features.
3. Sales Representative Applications
• The Sales Representative System consists of two applications: one that can operate offline and another that operates only when connected to the internet.
• The offline application has limited functionality, and not all requested enhancements, customizations, or modifications can necessarily be implemented in that application.
• The application is accessed by ordinary System users; no separate application-specific users are created.
• More than one user may not access the same application device at the same time.
• For operational, security, or licensing reasons, the First Party may restrict the use of certain applications or features to a specified number of devices per user, or may prohibit the same user from being logged in simultaneously on more than one device, depending on the nature of the relevant application and the subscribed Plan.
• Each device used with an application may be identified or registered against the relevant username.
4. API Usage Limits
• The API service is subject to daily and monthly usage limits according to the Customer’s applicable Plan. Usage may be calculated based on the number of requests submitted to the System or according to the API usage-unit methodology adopted by the Company.
• When the Customer approaches a high percentage of the permitted usage limit, the System may send alerts to the Customer or to authorized users. If the permitted limit is exceeded, the Company may temporarily suspend additional requests, reduce the response rate, require an upgrade to a higher Plan, or charge additional fees in accordance with the applicable package.
• The permitted usage limit does not include excessive automated usage, unnecessary repetitive requests, bulk data-extraction attempts, or any use of the API that adversely affects System performance or other customers.
• The Company reserves the right to modify API limits, the method by which API usage is calculated, or the applicable fair-use rules, provided that Customers are given reasonable prior notice of material changes, unless the change is required for security reasons or to protect service stability.
• Applicable prices and limits are set out in the Plans and pricing published on Trivvo’s official website and may be amended in accordance with the Company’s policies and the contracted Plan. Different limits or pricing may apply where a separate written agreement has been entered into with the Customer.
5. Usage Restrictions
• Storage allocated to the database, attachments, backups, and the applicable retention periods are subject to the subscribed Plan, the relevant commercial quotation, or the approved pricing page. No storage allocation shall be deemed unlimited unless expressly stated in a special quotation or addendum issued by the First Party.
• Attachment storage is limited under certain Plans and applies across all Systems and modules, including the e-commerce store.
• Trivvo Agent does not require a separate activation fee and is considered part of Trivvo’s free Systems; however, it requires the availability of an applicable API Plan.
• The Human Resources (HR) System may require an activation fee under certain Plans, but no fee is charged based on the number of employees.
• The Kiosk System may require an activation fee under certain Plans and always requires the availability of an applicable API Plan.
• Trivvo Forms may require an activation fee under certain Plans, and the applicable fee is based on the number of forms that may be created.
• The e-commerce store and website include access to all available templates. The applicable Plan price is linked to the technical specifications and resources of the hosting environment allocated to that Plan, including attachment capacity, database size, and website traffic/usage capacity. If the store or website exceeds the applicable fair-use limits, the Customer may be required to move to a Plan that is appropriate for its actual usage in order to avoid suspension of the service.
• All Trivvo Plans include standard hosting consisting of integrated cloud hosting on Amazon AWS servers in Frankfurt, with secure automated backups stored in two separate locations outside the primary hosting environment in order to support security and service continuity.
• Technical resources and usage limits vary by Plan, including attachment storage, database capacity, and overall usage capacity. Higher-tier Plans and dedicated environments for larger enterprises and businesses are also available as required.
• All pricing Plans published by the Company are associated with a hosting environment designated for that Plan. Users subscribed to the same Plan may be hosted on servers with defined technical specifications suitable for the requirements of that Plan, and such hosting remains subject to the Company’s Fair Use Policy.
• If the server specifications or fair-use limits applicable to the Customer’s subscribed Plan prove unsuitable for the Customer’s data volume, usage rate, number of users, or for any other reason affecting System performance or speed, the Customer may upgrade to a higher Plan, if available, and pay the resulting price difference, or request dedicated hosting with custom specifications for additional fees to be agreed between the Parties.
• Unless dedicated hosting or dedicated resources are expressly agreed, hosting resources under standard Plans are provided within a shared cloud environment and are managed in accordance with the applicable Plan limits and Fair Use Policy.
• The size and file types of attachments that may be uploaded or imported into a Trivvo instance are subject to applicable limits. If the Second Party wishes to increase such limits, it shall pay any additional fees required by the First Party and published under the pricing Plans available on the First Party’s official website.
• Neither Trivvo nor its operators, administrators, or responsible personnel shall be liable for any malfunction in the Product or any loss, corruption, or defect in entered data resulting from improper use of the Product, tampering, sabotage, deletion, viruses, unstable or interrupted electrical power, computer hardware failures, incompatibility of the computer’s specifications with the Product, failure to comply with important operating instructions provided within the Product, device formatting, or system restoration.
• Certain Systems are subject to usage restrictions that the Second Party must review before paying the fees required for their use. The First Party shall not be responsible for the Second Party’s failure to familiarize itself with such conditions, even where this may result in loss or disruption to the Second Party’s operations, provided that the applicable usage restrictions and information relating to use of the System are published on the First Party’s official website.
• Trivvo communication channels support connecting the Customer’s relevant communication setup or account to the System. Trivvo does not provide the service of establishing or activating the communication channel itself or topping up channel credit. The communication-channel service does not include Trivvo Box or any attachments that may be stored in the System as a result of using such channels.
• All special conditions applicable to a purchase or payment shall be made available at the relevant payment or purchase point or on Trivvo’s official website.
• Systems or modules that are not permitted under a particular Plan may not be activated unless the Customer upgrades to a higher Plan and pays the applicable upgrade amount.
• The Electronic Pricing System requires at least one user, and that user may operate only within the Electronic Pricing System.
